i work on new player model for q2. got 3ds model, about 1500 faces. used qme to produce md2. works ok without skin in r1q2. when trying to put some random skin on it, it is still black. then, tried qme editor. import skin. trying pcx files from other models. none works. my model is still black.

Did you create a UV map that determines how the skin is mapped to the model? It's probably defaulting to coordinate 0,0 everywhere if you haven't.

I don't know myself. You'll have to find a 3DS max tutorial on how to create the skin layout.

well, probably the best way is to paint it roughly in qME, then save all model. skin will be created. then edit it using any graphic editor.
